Back to homepage Service Terms
These Service Terms apply to Foxden Web managed website services together with your accepted written proposal or service summary.
Who supplies the service
Andre May trading as Foxden Web is a UK sole trader. Business correspondence address: 61 Bridge Street, Kington, HR5 3DJ, United Kingdom. Email: hello@foxdenweb.co.uk. Website: foxdenweb.co.uk.
Foxden Web supplies services to businesses, sole traders, charities and individuals buying a website mainly for genuine professional, commercial or self-employed activity. The customer confirms that it is buying mainly for those purposes and that the person accepting the agreement has authority to do so.
Ordinary personal or consumer websites, including a personal CV website bought mainly outside a trade, business or profession, are outside the standard service. A professional portfolio or CV site bought for a genuine business or self-employed activity may be considered. Consumer projects would require separate terms.
An enquiry or preview is not an order
An enquiry, conversation, package preference or private preview does not place an order, reserve a start date, start a subscription or create a payment obligation.
- The prospective customer submits an enquiry.
- Foxden Web discusses the requirements and package preference.
- Foxden Web may prepare a private preview.
- Foxden Web issues a written proposal or service summary.
- The customer accepts it in writing.
- After written acceptance, the customer completes the agreed payment setup through the secure Stripe-hosted process.
- The website is completed and approved.
- The website goes live.
- Monthly billing begins on the agreed go-live date.
The contract consists of the accepted customer-specific proposal or service summary, these Service Terms, applicable general package information and any expressly agreed add-ons. If they conflict, the accepted customer-specific proposal takes priority, followed by these Service Terms and then general package information.
The enquiry form sends submissions securely to hello@foxdenweb.co.uk. The Privacy Notice explains how enquiry information is handled. Payment details are entered only through the secure Stripe-hosted process after the customer accepts the written proposal or service summary.
Current managed packages
Basic is £49 per month, Standard is £99 per month and Pro is £199 per month. Foxden Web is not currently VAT registered and VAT is not currently added.
Every package has an initial 12-month minimum term beginning on the agreed go-live date. The package price is fixed during that term. After it, the service continues monthly until cancelled with 30 days' written notice.
After the initial term, Foxden Web will give at least 60 days' written notice of a package-price change. The customer may cancel before the new price applies. The tax position may change in future where required by law and following appropriate notice.
The services, page allowance, support level, mailbox provision, reporting arrangements and other package-specific inclusions applying to your service are confirmed in your accepted proposal or service summary. Reporting or measurement is provided only where expressly agreed and the relevant privacy arrangements have been assessed. It does not guarantee visitors, enquiries or sales.
A manageable small-business website service
The page allowance describes the normal initial website build. Straightforward additional pages that reuse the existing design can often be handled through the ongoing managed service after review. A substantial new section, unique layout or major expansion may need a revised scope.
Routine website updates are included. Foxden Web does not count every text or image edit as a separate charge. Routine work may include text or image changes, contact details, opening hours, existing services, downloadable documents, small adjustments within the agreed design and straightforward additions that reuse an existing layout.
Standard brochure-site work may include core pages, contact forms, blogs or news, image galleries, PDF downloads, maps, video or social-media embeds, straightforward external booking links and ordinary WordPress content.
Linking to or embedding a service such as Instagram or YouTube may be ordinary brochure-site work. Recreating a social platform is outside the standard package.
A simple external booking link may be included within the agreed launch scope. Connecting suitable booking software, including any ongoing management, is assessed and quoted individually. Any third-party subscription and the agreed management requirements are confirmed before work begins. This is not a bespoke booking platform.
Ecommerce, customer accounts, profiles or logins, memberships, payments through the customer website, complex booking systems, comments or community features, sensitive-data forms, bespoke databases, significant integrations, custom applications, substantial non-WordPress development and higher-risk functionality require assessment and a separate written proposal. Foxden Web may consider these requests but does not promise to accept every project.
Larger work may be agreed as a one-off project or added to the monthly package where an ongoing service is more appropriate.
New managed websites will normally use WordPress, a widely used and well-supported website platform. Customers do not need to manage the technical side themselves. Suitable editing access to agreed content may be provided on request. Foxden Web continues to manage the website's structure, hosting, security, updates and technical configuration.
Pro customers may request limited advanced hosting access to their own website environment. Availability depends on operational suitability and security. It never includes Foxden Web's reseller administration, another customer's environment or platform-wide configuration.
Customer-made changes remain the customer's responsibility. Foxden Web can help with reasonable restoration, but extensive repair caused by customer changes may be quoted separately. No additional cost is charged without written approval.
Billing begins at go-live
Monthly billing and the initial 12-month term begin only on the agreed go-live date after the website has been approved for launch. An approved domain, premium software or other third-party purchase needed earlier must be paid before it is ordered.
Stripe is Foxden Web's payment and invoicing provider. A customer accepts the written proposal or service summary before payment arrangements are established through a secure Stripe-hosted process.
Debit and credit card payments can be accepted through Stripe. Monthly packages use an agreed recurring payment arrangement, while add-ons, approved third-party costs and individually quoted work can be invoiced separately. Foxden Web does not ask customers to send card details through the enquiry form, ordinary email, a proposal or a PDF, and does not directly collect or store full card details. No card surcharge is added.
Foxden Web will explain and obtain written approval for an add-on, paid service or separately quoted work before purchase or work begins.
If a payment fails or becomes overdue, Foxden Web will notify the customer and allow a reasonable opportunity to correct it. A single failed payment triggers manual review and does not automatically suspend a live website. Routine changes and non-essential support may be paused where payment remains overdue for 14 days. Foxden Web will give written notice before suspending the live managed service. Outstanding amounts remain payable, and any termination or prolonged suspension must follow the agreement and applicable law.
A fair approach before go-live
Foxden Web normally makes no cancellation charge before go-live for reusable planning, template development or exploratory work. The customer remains responsible for non-refundable third-party costs approved in advance.
A charge may apply only where the accepted proposal clearly identified substantial customer-specific or non-reusable work before that work began. The charge must have been agreed in writing and must reflect work completed or committed costs.
An unfinished preview, source files or customer-specific build may not be taken, copied or used unless an appropriate handover is agreed. Temporary copy, stock imagery or placeholders are used only with the customer's approval.
Where required information, content, approval or access is missing, Foxden Web will send reasonable reminders. The project may be paused after 14 days without the required response and closed after 60 days and reasonable written reminders. Foxden Web will not normally charge merely because an inactive reusable project was closed.
A returning customer may restart later, subject to availability, current requirements and a refreshed proposal.
A declining setup-recovery balance
The website is designed and built first, with the cost spread across the initial 12-month term rather than a large standalone build fee upfront. If the customer chooses to leave during that term, the following declining balance may apply to recover part of the initial design and setup work:
- Basic: £240 initially, reduced by £20 after each paid monthly payment.
- Standard: £480 initially, reduced by £40 after each paid monthly payment.
- Pro: £900 initially, reduced by £75 after each paid monthly payment.
The balance reaches £0 after all 12 monthly payments. It is a maximum recovery of the website setup value supplied without a normal standalone build fee, not a penalty. It declines predictably after every paid month.
Foxden Web will not also demand every remaining subscription payment solely because the customer leaves early. Outstanding invoices, approved third-party costs, separately agreed work and any individually quoted technical handover or migration work remain payable.
No setup-recovery balance applies where the customer terminates because Foxden Web has committed a material breach and has not remedied it within a reasonable written remedy period.
An ordinary transfer is not an IP buyout
During the initial term, an ordinary exit or transfer requires payment of outstanding invoices, the applicable declining setup-recovery balance and any individually quoted technical handover work. After the initial 12 months, the setup-recovery balance is £0 and the customer-specific transferable website is not subject to another arbitrary website purchase price. Outstanding invoices remain payable, and work required to move, configure or reconstruct the website elsewhere can be quoted separately.
The customer retains its domains, supplied content, existing branding and photographs, customer and business data, mailbox data and intellectual property it already owned. Foxden Web will provide a reasonable customer-specific website export or transfer where technically available and included in the agreed handover.
Basic mailbox export assistance is included without an additional charge. Full mailbox migration, complex website migration, reconstruction on another platform or work required by the receiving provider is quoted separately.
Foxden Web retains reusable templates, general components, internal tools, workflows, methods, know-how, standard design systems and material developed independently of the customer. The customer receives the rights or continuing licence reasonably needed to operate the customer-specific transferred website, subject to third-party restrictions.
Exclusive ownership of Foxden Web's reusable template, framework or underlying intellectual property is a separate buyout quoted individually. A normal customer-specific handover does not require an arbitrary second website purchase price.
Third-party themes, fonts, images, plugins and services remain subject to their own licences. Where a licence cannot transfer, the customer may need to purchase a replacement.
Managed infrastructure with clear ownership
Domains
One ordinary new domain registration and its renewal are included while the customer maintains an active Foxden managed package. New domains are registered using the customer's ownership details wherever practical. The customer is the beneficial owner, while Foxden Web may act as the administrative or technical manager.
An existing customer-owned domain remains customer-owned. Foxden Web normally changes only the DNS records required for the agreed website and email service. Premium, aftermarket, unusually expensive or additional domains are quoted separately. When the service ends, future renewal responsibility returns to the customer and domain transfer or DNS changes form part of offboarding.
Hosting
Standard managed websites are currently hosted using professional UK-based hosting infrastructure. Standard website data, managed mailboxes and hosting backups are currently hosted in the UK. Foxden Web manages the hosting service on the customer's behalf.
Hosting includes SSL, customer account isolation, monitoring, security and malware controls, DDoS mitigation and routine provider backups intended to assist with recovery. The standard hosting platform currently maintains daily off-site backups on a rolling 14-day schedule. Backups reduce the risk of data loss but cannot guarantee recovery in every circumstance. Customers should keep independent copies of important business records and source material where practical.
Foxden Web may replace a hosting or infrastructure supplier with a suitable equivalent where reasonably necessary. A material change affecting the customer's service or processing of personal information will be communicated where required. Agreed third-party services may have separate processing arrangements outside the UK.
Business email
Where included, Foxden Web provides the agreed number of managed business mailboxes, normally with 5 GB storage per mailbox. The number and addresses are confirmed in the accepted proposal or service summary before setup. Webmail, reasonable domain configuration and a simple device setup guide are included.
If a mailbox approaches its storage limit, additional storage can be arranged. Where an increase can be accommodated within the existing hosting allowance, no additional charge applies. Larger storage requirements are quoted separately. Microsoft 365, Google Workspace and other premium email services are quoted at the current supplier price. Premium licences and substantial setup or migration work require written approval.
Ordinary mailbox setup does not include general device, Outlook, network or company IT support. Basic mailbox export assistance is included when leaving; complete migration to another provider is quoted separately.
Founder-led support with practical boundaries
The first-response target for the chosen package is confirmed in the accepted proposal or service summary. It is a target for the first response and assessment, not a guaranteed resolution time. Resolution depends on complexity, customer cooperation, supplier availability and third-party services.
Routine support is normally provided Monday to Friday, excluding England and Wales bank holidays. Foxden Web does not provide a 24/7 helpdesk, guaranteed instant support or guaranteed resolution times. Urgent security and website-availability problems are prioritised reasonably when detected or reported.
The service is founder-led and temporary unavailability may occasionally occur, with reasonable notice where practical. All current questions, support requests and complaints may be sent to hello@foxdenweb.co.uk.
Support covers the managed website, hosting, domain configuration, maintenance, security care and agreed website changes. It does not cover computers, printers, office networks, unrelated software, personal devices or general business IT support. Substantial additions and out-of-scope work require a separate quotation.
Foxden Web will use reasonable care and skill. Hosting, email, domains, plugins, APIs and other services depend partly on third parties. Maintenance, security incidents, supplier outages, internet failures and circumstances outside reasonable control may affect availability. Foxden Web cannot promise uninterrupted or error-free operation, but will take reasonable steps to investigate and restore managed services.
A normally supported 30-day transition
Foxden Web normally supports a 30-day offboarding window, subject to the accepted proposal and agreed dates. Foxden Web and the customer will agree the website offline date, domain or DNS changes, website exports, mailbox arrangements, outstanding payments, third-party subscription changes and final closure date.
- Confirm the handover scope and outstanding amounts.
- Agree the final service and DNS dates.
- Produce the agreed website and mailbox exports.
- Ask the customer to confirm receipt.
- Complete agreed DNS or management changes.
- Remove the active hosting account after appropriate confirmation.
- Allow provider backup copies to expire through the provider's ordinary backup cycle.
- Retain only contractual, accounting, security and legally necessary records.
Residual backup copies may remain temporarily until overwritten or expired through the provider's ordinary backup cycle. Any customer-specific deletion timetable will reflect the relevant supplier's documented retention process.
Working together
The customer is responsible for providing accurate information, content and approvals within reasonable times; having the right to use supplied names, text, branding, photographs and other material; checking the final site before approval; notifying Foxden Web of material errors; using supplied access securely; and maintaining customer-controlled accounts and credentials.
The customer must not supply unlawful, misleading, infringing, malicious or technically unsafe material. Foxden Web may refuse or remove that material. The customer is responsible for ensuring it has the necessary rights and permissions to supply all content, branding, photographs and other materials used for the service.
Each party will protect confidential information received through the project and use it only for the agreed service, except where disclosure is authorised or required by law. Foxden Web handles personal information in accordance with the Privacy Notice.
With the customer's separate permission, Foxden Web may later include a small removable website credit or approved screenshots and project information in a portfolio. Names, testimonials, results and analytics are not published without appropriate approval. Portfolio permission is optional and is not a condition of service.
Clear instructions and communications
Customer website information
Where Foxden Web processes personal information on a customer's behalf through the managed website service, the customer remains responsible for determining the purposes for which that information is collected. Foxden Web will process that information only as necessary to provide the agreed service and in accordance with the applicable Data Processing Schedule.
Foxden Web may use appropriately contracted hosting, email, backup and other infrastructure providers as subprocessors where necessary to provide the service.
Notices and changes
Notices under this agreement may be sent by email to the contact details used for the customer account or proposal. Customers should tell Foxden Web if their contact details change. Cancellation and other contractual notices should be sent to hello@foxdenweb.co.uk unless another address has been agreed in writing.
Foxden Web may update these Service Terms from time to time. Changes will not retrospectively alter an existing agreed minimum-term contract without the customer's agreement, except where a change is reasonably required to comply with law. Material changes affecting an ongoing service will be communicated before they take effect.
If any part of these Terms is found to be unenforceable, the remaining terms continue to apply. A delay or failure by either party to enforce a right does not waive that right.
How concerns are handled
Send a complaint to hello@foxdenweb.co.uk with the customer's name, website and a clear description of the concern. Foxden Web aims to acknowledge it within 2 working days and provide a substantive response within 10 working days.
A complex matter may take longer, in which case Foxden Web will provide an update. The parties should first try to resolve the matter in good faith. Foxden Web does not claim membership of an ombudsman, mediation service or regulatory scheme.
This agreement is governed by the law of England and Wales. The courts of England and Wales will have jurisdiction.
Reasonable limits and protected rights
Nothing in the agreement excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot legally be excluded or limited.
Subject to those protections and to the extent permitted by law, Foxden Web is responsible for direct loss that is a foreseeable result of its breach of this agreement or failure to use reasonable care and skill. Foxden Web is not responsible for indirect or consequential loss. Any exclusion or limitation concerning loss of profit, business, opportunity, goodwill or data applies only where it is lawful and reasonable in the circumstances.
The customer is responsible for proportionate business-continuity arrangements and independent copies of important records. Any liability for loss of or damage to data will be assessed in light of the agreed backup service, the customer's own records and whether the loss was direct and foreseeable.
Subject to liabilities that cannot legally be limited, Foxden Web's aggregate liability under the accepted agreement is limited to the fees paid or payable under that agreement during the 12 months preceding the event giving rise to the claim.
